1. Agreement to these terms

These Terms of Service ("Terms") govern your access to and use of this website (the "Site"), operated by Bygheart AI, a Nevada corporation ("BygheartAI," "we," "us," or "our"). By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

2. What this Site is

The Site is an informational and marketing resource describing BygheartAI's products and services. It is intended for healthcare organizations, veterans programs, universities, and similar institutional audiences evaluating our offerings.

The Site is not the product. Access to BygheartAI software is provided separately under a written agreement. Nothing on the Site creates a right to use our products, and nothing here is an offer capable of acceptance.

3. Not medical advice; no clinical relationship

Using this Site, reading its content, or contacting us does not create a clinician-patient, therapist-client, or other professional care relationship between you and BygheartAI. Never disregard professional medical advice or delay seeking it because of something you read here.

BygheartAI's products are designed to support licensed care teams, not to replace them, and are intended for deployment under clinical supervision with human review of escalations.

4. Not for emergencies

The Site and our products are not designed, staffed, or monitored for emergency response. Do not use them to report a medical emergency, a threat of harm to yourself or another person, or any situation requiring immediate intervention. In an emergency, call 911, or call or text 988.

5. Do not send health information

Please do not send us protected health information, patient records, clinical details, or information about your own health through this Site or by email. Email is not a secure channel. Any such information you send is sent at your own risk, and we may delete it. PHI processed inside a deployed BygheartAI product is governed by a separate Business Associate Agreement, not by these Terms. See our Privacy Policy.

6. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use this Site. The Site is directed to institutional audiences and is not intended for children.

7. Acceptable use

You agree not to:

• use the Site for any unlawful purpose or in violation of these Terms;
• attempt to gain unauthorized access to the Site, its servers, or any connected system;
• probe, scan, or test the vulnerability of the Site, or breach or circumvent any security or authentication measure, without our prior written authorization;
• interfere with or disrupt the Site, including by introducing malware or by placing unreasonable load on our infrastructure;
• scrape, crawl, or harvest content or data from the Site by automated means without our prior written permission;
• use content from the Site to train any machine learning model or artificial intelligence system without our prior written permission;
• misrepresent your affiliation with any person or organization.

8. Intellectual property

The Site and its contents, including text, graphics, logos, images, page layout, design, and software, are owned by BygheartAI or its licensors and are protected by copyright, trademark, and other laws. "BygheartAI," "Bygheart V5," "VisionCore," "CrisisGuard," "VetMind," and "ClinicalAssist" are marks of BygheartAI.

You may view and print Site content for your own internal evaluation purposes. Any other use, including reproduction, distribution, modification, or creation of derivative works, requires our prior written consent. All rights not expressly granted are reserved.

Third-party names, logos, and marks appearing on the Site are the property of their respective owners and are used to identify those parties. Their appearance does not imply any endorsement of you or your use of the Site.

9. Third-party links

The Site may link to third-party websites and resources. We do not control them, do not endorse them by linking, and are not responsible for their content, policies, or practices. Your use of a linked site is governed by that site's own terms.

10. Forward-looking statements

The Site describes product capabilities, roadmap plans, and intended integrations, some of which are under development. Statements about future functionality, availability, performance, or partnerships are forward-looking and are not commitments, warranties, or guarantees. Actual capabilities are defined solely in a written agreement between you and BygheartAI.

11. Disclaimer of warranties

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, secure, or error-free, or that its content is accurate, complete, or current.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BYGHEARTAI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In those jurisdictions, the above limitations apply only to the extent permitted by law. Nothing in these Terms limits liability that cannot lawfully be limited, including liability for death or personal injury caused by negligence, or for fraud.

13. Indemnification

You agree to indemnify and hold harmless BygheartAI and its officers, directors, employees, and agents from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Site, your violation of these Terms, or your violation of any right of a third party.

14. Governing law and disputes

These Terms are governed by the laws of the State of Nevada, without regard to its conflict of laws principles. You and BygheartAI agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Clark County, Nevada, and you consent to the personal jurisdiction of those courts.

15. Changes to these Terms

We may modify these Terms at any time. When we do, we will update the "Last updated" date above. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms. If you do not agree, stop using the Site.

16. Severability and waiver

If any provision of these Terms is held unenforceable, that provision will be limited or removed to the minimum extent necessary and the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver of our right to do so later.
